21st Century Fox has been holding talks to sell most of the company to Walt Disney Co., leaving behind a media company tightly focused on news and sports, according to people familiar with the situation.

The talks have taken place over the last few weeks and there is no certainty they will lead to a deal. The two sides are not currently talking at this very moment, but given the on again, off again nature of the talks, they could be revisited.

For Fox, the willingness to engage in sale talks with Disney stems from a growing belief among its senior management that scale in media is of immediate importance and there is not a path to gain that scale in entertainment through acquisition. The company is said to believe that a more tightly focused group of properties around news and sports could compete more effectively in the current marketplace.


The media landscape has changed considerably in recent years with giants such as Facebook, Google (Alphabet), Amazon and Netflix changing the way people consume media and dominating the digital distribution of digital video content. Being able to compete in that changing landscape, many people believe, requires scale that a Disney has, but 21st Century Fox does not.

For Disney, the opportunity to take control of another movie studio and significant TV production assets as it readies a direct-to-consumer entertainment streaming offering is attractive as is Fox's significant exposure to international markets, such as the U.K., Germany and Italy — both through its networks and 39 percent ownership of Sky. Disney recently announced it will pull all of its movies from the Netflix platform and will establish two direct-to-consumer offerings: one for sports and one including its key franchises such as "Star Wars" and Marvel.

Disney would not purchase all of Fox, according to people with knowledge of the talks.

The company could not own two broadcast networks and would therefore not buy the Fox broadcast network. It would not buy Fox's sports programming assets in the belief that combining them with ESPN could be seen as anti-competitive from an antitrust standpoint and it would not buy the Fox News or Business channel. Disney would also not purchase Fox's local broadcasting affiliates, according to people familiar with the negotiations.

In addition to the movie studio, TV production and international assets such as Star and Sky, Disney would also add entertainment networks such as FX and National Geographic.

The contemplated structure of the deal or the price that has been discussed could not be learned. Given it would involve the sale of many, but not all of Fox's properties, it's unclear how Fox would mitigate potential tax consequences of a deal.

Officials at Disney and Fox declined to comment.

Yeah, no. This is not how to get the film rights back. I can't see this deal happening at all. Remember when there were reports that Disney would Time Warner three years ago which thankfully was aborted?

Eh, I wouldn't like that idea at all. Does Fox really need to regain the Fox Kids library that Disney bought 14 years ago? I doubt it.

It's better than nothing, at least Disney would buy the rights to the Marvel/Star Wars films without buying the whole company.

It's not even better than nothing at all and I just think the only film rights that Marvel should regain from Fox for the time being is the Fantastic Four film rights plus the theatrical and home media rights of the five of the six Star Wars films will be transferred from Fox to Disney in three years time (A New Hope will be under Fox's rights in perpetuity).

The only reason I'd want Disney to get the X-Men and FF rights back is so that we might finally see them in cartoons again, and it would give Marvel more incentive to actually promote those properties.

Why would you let Fox have film and character rights to certain Marvel proprieties forever? It would be a partial solution to the Marvel rights problem and a full solution to the Star Wars rights (especially Episode IV).

It would be better to leave Fox with something in exchange (the Fox Kids library minus Marvel shows, to which Disney never really cared), than nothing.

I never even said that Fox should keep the F4/X-Men film rights forever (they can keep the X-Men film rights for the time being as I think the F4 film rights should be reverted back to Marvel now) and it's already been confirmed that theatrical and home media rights of Episode V-III will be transferred to Disney in three years time.

No, it wouldn't be better than nothing and I don't really think Fox would want the Fox Kids library back from Disney plus I don't want a major film studio buying one of their five major competitors because this is like Disney's failed attempt to buy Time Warner three years ago all over again.

Thank god. I can't imagine what a merger like that would be like. Besides, Disney shouldn't be buying every single company or studio; it's already got Marvel, Pixar, ESPN and Lucasfilm.

This is why I think that the deal isn't a good idea to begin with.

Uh, the rights are only for theatrical films and live-action TV, not animated shows. Marvel has the animated TV rights for X-Men and Fantastic Four but they haven't done a new cartoon for either of them recently due to Perlmutter pushing for more Inhumans stuff as in taking over X-Men's spot.

Aw...I kind of thought that'd be cool. They'll own the rights to X-Men, and finally integrate it into the MCU, and stop trying to push Inhumans in its place.
The only downside, is that their would be a LOT of layoffs due to redundancy. I'm not concerned over something like monopoly, since their are still numerous other companies providing media content.
Now if they were buying an internet company, then I'd be concerned.

Also, this shouldn't even be compared to Time Warner, as the assets Disney would get from this proposed Fox deal is nothing compared to two of the nation's largest media companies merging.

And I seriously doubt Fox would do anything with the old Fox Kids library. Disney barely even does anything with it, and the few shows from the Fox Kids library that Disney owns the rights to outright will just show up on Disney's streaming service.

Hmmm, can't really see them owning FX but definitely National Geographic.

With Disney owning Freeform, owning FX, and FXX, is a bit much, not to mention they also own half of A+E and History Channel. But they do have the content to fill up the schedule.

Dang, that actually is a lot of channels under one roof. They should either rebrand a few channels, or shut them down entirely. Whatever happens, will result in a lot of restructuring.

I want Marvel to get the FF rights, and I have for years, but I just have a feeling that will happen sooner rather than later (though it still feels like it's taking too long). It would have felt really strange to see 20th Century Fox under Disney control or to see the studio dissolved or something. It feels like these kinds of talks are happening with the studios all the time lately.

I wouldn't say this news is 21st Century Fox showing they're in a vulnerable state but it does seem like as best an opportunity to call back say 'sorry we couldn't get together on a merger but, well, about those Fantastic Four rights...' -- it seems logical they would try to get rid it in one package to see who was interested, then start selling off pieces. Still, this is some surreal news...
